Spain's Cuatrecasas Gonçalves Pereira has advised Eurofragance in the negotiation and takeover of a 25% stake by Banco Sabadell, through the bank’s investment arm, Aurica XXI. The company, based in Rubí (Barcelona), specializes in creating and producing fragrances and flavours for the cosmetic and food industry sectors.
Cuatrecasas has worked for Euro FRANGANCE in the past, advising it on tax planning and other legal matters. Eurofragance posted sales of €22m in 2009 and expects sales to increase to €30m this year, with most of these sales taking place outside Spain. Aurica’s investment will be made by increasing capital and making it possible to implement new investment and business plans.
Tax partner Xavier Calaf in Barcelona led the deal for Cuatrecasas, assisted by corporate partner, Elena Cuatrecasas.
Freshfields acted for the banks.
